Terms of Service

These terms form the agreement between you, the merchant installing the Restock app, and Rel8 CX Ltd, company number 10154735, registered at 124 City Road, London, EC1V 2NX, United Kingdom. By installing or using Restock you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.
The part that matters most. Restock suggests what to reorder and drafts the emails. You decide. No purchase order is ever sent to a supplier without your explicit approval in the app, and every order you approve is your commercial commitment, not ours. Section 6 sets this out in full.
1. What Restock does
Restock connects to your Shopify store, analyses your sales and inventory history, forecasts demand for each product variant at each location, recommends what to reorder and when, and drafts purchase orders grouped by supplier for you to review and approve.
2. Eligibility and your account
You need an active Shopify store to use Restock. You are responsible for your Shopify account, for the accuracy of the supplier details you enter, for the email credentials you configure, and for the actions of anyone you give access to your store. Tell us promptly at support@rel8.cx if you believe your account has been compromised.
3. Trial, plans and payment
Restock is offered on two subscription tiers with a 14 day free trial. The tiers differ by the number of active SKUs covered; both include the full feature set. Current pricing is shown on the Restock listing in the Shopify App Store and on the plan selection screen inside the app at the time you subscribe, and that displayed price is the one that applies.
All billing is handled by Shopify through its Billing API and charged to the payment method on your Shopify account. We never see or hold your card details. Charges recur monthly until cancelled.
If your catalogue grows beyond the allowance on the lower tier, Restock keeps working. You will see a notice in the app inviting you to upgrade. We do not lock you out of your data or suspend the service for exceeding an allowance.
4. Cancelling
You can cancel at any time from the billing screen in the app or by uninstalling Restock. Cancellation stops future charges. Because Shopify bills subscriptions in advance for each 30 day period, cancelling partway through a period does not generate an automatic refund, though you keep access until the end of the period you have paid for. If you think you have been charged in error, write to support@rel8.cx and we will look at it properly.
Uninstalling deletes your data. See section 10 of the Privacy Policy for exactly what happens and how quickly.
5. What we ask of you
- Use Restock lawfully, and only for a store you are entitled to operate
- Do not attempt to breach or probe the security of the service, or access another merchant's data
- Do not resell, sublicense or white label the service without our written agreement
- Do not use the service to send unsolicited bulk email, or to send anything through your configured SMTP account that you would not be entitled to send yourself
- Keep your supplier contact details accurate, since we send purchase orders to them
6. Forecasts, recommendations and purchase orders
This section is important, so it is written plainly.
Restock's forecasts and reorder recommendations are decision support. They are produced from your historical sales data using statistical methods, and like all forecasts they can be wrong, particularly where a product has little sales history, where demand shifts suddenly, or where your underlying Shopify data is incomplete. Restock shows a confidence score precisely because you are meant to apply your own judgement.
No purchase order is transmitted to a supplier automatically. Every order requires your explicit approval inside the app, and after you approve it there is a 60 second window in which you can cancel before anything is sent. Once an order is sent, it represents an offer or commitment between you and your supplier. Rel8 CX Ltd is not a party to it.
You are solely responsible for what you order, from whom, in what quantity, and at what price. We are not liable for over ordering, under ordering, stockouts, excess or obsolete inventory, supplier disputes, or any commercial loss arising from a purchasing decision, and that is true whether or not the decision followed a Restock recommendation.
7. Availability
We work to keep Restock available and to run the nightly forecasting reliably, but we do not offer a contractual uptime guarantee on these terms. We may need to interrupt the service for maintenance, and we will keep planned interruptions short and outside peak trading hours where we reasonably can. Restock also depends on Shopify's APIs, which are outside our control.
8. Intellectual property
We own Restock, including its software, models, interfaces and branding. You get a non exclusive, non transferable right to use it for your own store for as long as your subscription is active. You keep ownership of your own data. Nothing in these terms transfers any right in your data to us beyond what we need to run the service for you, as described in the Privacy Policy.
9. Data protection
Our handling of personal data is set out in the Privacy Policy, which forms part of these terms. In summary, for your store data you are the controller and we are your processor, and Restock is designed so that no customer personal data is collected at all.
10. Warranties and liability
We provide Restock with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as it is, without further warranty, including any implied warranty that it will be uninterrupted, error free, or fit for a particular purpose.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, our total liability to you arising out of or in connection with these terms or the service, whether in contract, tort including negligence, or otherwise, is limited in aggregate to the total subscription fees you paid us in the 12 months immediately before the event giving rise to the claim. We are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of or damage to data, business interruption, or any indirect or consequential loss.
11. Suspension and termination
You may stop using Restock at any time by uninstalling it. We may suspend or terminate your access if you materially breach these terms, if your payment fails and is not resolved, or if we are required to by law. Where it is reasonable to do so, we will warn you first and give you a chance to fix the problem. On termination your data is deleted as described in the Privacy Policy.
12. Changes
We may update these terms as the product develops. If a change materially affects your rights we will give you reasonable notice in the app or by email before it takes effect. Continuing to use Restock after that point means you accept the updated terms. If you do not accept them, you can cancel.
13. General
If any part of these terms is found unenforceable, the rest continues to apply. A delay in enforcing a right is not a waiver of it. You may not transfer your rights under these terms without our consent. These terms are the entire agreement between us regarding Restock and replace any earlier understanding.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
